Welcome to these Terms of Service (the “Terms”) for Payonite (“Company,” “we,” “us,” or “our”) and our web-based software-as-a-service platform, APIs, and related websites and applications (collectively, the “Services”).
These Terms govern your access to and use of the Services. By accessing or using the Services, you agree to be bound by these Terms. If you do not understand or agree to these Terms, do not use the Services.
For purposes of these Terms, “you” and “your” refer to the individual or entity using the Services. If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and “you” includes both you and that entity.
1. The Services
1.1 Your Content
In connection with the Services, you may upload, submit, transmit, or otherwise make available information, text, data, files, or other materials (“Your Content”). You represent and warrant that you have all rights, licenses, consents, and permissions necessary to provide Your Content and to allow Payonite to use it as described in these Terms, and that Your Content does not violate any applicable law or third-party rights.
To operate, maintain, secure, and improve the Services, you grant Payonite a royalty-free, worldwide, transferable, sublicensable license to host, store, reproduce, transmit, display, modify, and distribute Your Content solely as necessary to provide the Services, promote the Services, and comply with legal obligations. To the maximum extent permitted by law, we may remove Your Content at any time at our discretion.
1.2 Eligibility
You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction but at least 13 years old, you may use the Services only with the consent of a parent or legal guardian who agrees to these Terms on your behalf. Children under 13 are not permitted to use the Services.
By using the Services, you represent and warrant that you meet these eligibility requirements.
2. User Accounts
2.1 Creating and Safeguarding Your Account
Certain features require you to create an account or connect a third-party account (“Account”). You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity that occurs under your Account and for maintaining the confidentiality of your login credentials.
Notify us immediately at support@payonite.com if you believe your Account has been compromised or used without authorization. You may not create an Account if we previously suspended or terminated your access, unless we provide written approval.
2.2 Paid Services
Some Services are free, while others require payment. If you use paid Services, you agree to pay all applicable fees, charges, and taxes in the currency specified at checkout. We may store and charge your payment method to prevent interruption of Services. Pricing and plans may change with reasonable notice.
2.3 Subscription Renewals and Cancellations
Subscriptions automatically renew for the term disclosed at checkout (or monthly if not specified) at the then-current rate. Your payment method will be charged at the beginning of each renewal period. You may cancel your subscription at any time through your Account settings or by contacting support@payonite.com. To avoid future charges, cancellations must be completed before the renewal date.
2.4 No Subscription Refunds
Except where required by law or expressly stated otherwise, subscription fees are non-refundable, and no credits are issued for partial billing periods. Upon cancellation, you will retain access to paid Services until the end of the current subscription term.
3. Privacy
Our collection and use of personal information are described in our Privacy Policy. By using the Services, you acknowledge that you have reviewed and understand the Payonite Privacy Policy.
4. Rights We Grant You
4.1 Right to Use the Services
Subject to these Terms, Payonite grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business purposes. Access may be interrupted for maintenance, updates, or operational reasons.
4.2 Restrictions on Use
Unless expressly permitted in writing by Payonite or by applicable law, you may not:
Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Services
Reverse engineer, decompile, or attempt to extract source code or underlying algorithms
Remove or obscure proprietary notices or trademarks
Use bots, scrapers, crawlers, or automated tools to access or collect data
Introduce malware, viruses, or other harmful code
Upload unlawful, abusive, defamatory, obscene, or infringing content
Interfere with or disrupt the integrity or performance of the Services
Use the Services in violation of applicable laws or regulations
Use the Services for any purpose not expressly permitted by these Terms
4.3 Beta Offerings
Payonite may offer experimental or beta features (“Beta Offerings”). Beta Offerings are provided “as is,” may be unstable, and are used at your own risk. Data or content created through Beta Offerings may be lost or incompatible with future versions.
5. Ownership and Intellectual Property
5.1 Ownership of the Services
The Services, including all software, content, design, and functionality, are owned by Payonite or its licensors and are protected by intellectual property laws. All rights not expressly granted to you are reserved.
5.2 Trademarks
The Payonite name, logos, and related branding are trademarks of Payonite. Other trademarks appearing in the Services belong to their respective owners.
5.3 Feedback
If you submit feedback, suggestions, or ideas regarding the Services (“Feedback”), you agree that Payonite may use such Feedback without restriction or compensation, and you assign all rights in the Feedback to Payonite.
5.4 Copyright Complaints
If you believe that content on the Services infringes your copyright, please contact support@payonite.com with sufficient information to identify the copyrighted work and the allegedly infringing material. We may suspend or terminate repeat infringers.
6. Third-Party Services
The Services may integrate with or link to third-party content, tools, or services (“Third-Party Services”). Payonite does not control or endorse Third-Party Services and is not responsible for their availability, accuracy, or legality. Your use of Third-Party Services is at your own risk and subject to their terms.
7. Disclaimers and Limitation of Liability
7.1 Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Payonite and its affiliates disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and security. We do not guarantee uninterrupted or error-free operation or the preservation of data.
7.2 Limitation of Liability
To the maximum extent permitted by law, Payonite and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.
Payonite’s total liability for any claim will not exceed the greater of $100 USD or the amount you paid to Payonite in the six (6) months preceding the claim.
7.3 Indemnification
You agree to defend, indemnify, and hold harmless Payonite and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, Your Content, or your violation of these Terms or applicable law.
